Terms of Service

These Terms govern your access to and use of Vault, the internal representative portal operated by Empire Builders. By logging in, you agree to these Terms.

1. Who We Are

Vault is an internal business platform operated by Empire Builders to support its licensed and pre-licensed financial professionals. It is not a consumer product, not available to the general public, and not a place to transact business with clients directly. All representatives who use Vault do so under an agreement governing their affiliation with Empire Builders.

2. Eligibility & Access

Access is granted by invitation only, subject to approval by Empire Builders leadership. You must:

• Be at least 18 years of age;
• Have a valid, active agreement on file with Empire Builders;
• Be in good standing with all applicable federal and state regulations.

Empire Builders may revoke access at any time, with or without notice, for any reason including termination of your agreement with Empire Builders, violation of these Terms, or concerns about misconduct.

3. Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials and one-time codes;
• All activity that occurs under your account, including actions taken by anyone you share access with;
• Notifying us at tech@wealtharmor.com immediately if you suspect unauthorized access;
• Signing in only from devices you personally control.

You may not share your account with anyone, ever. Not a spouse, not a business partner, not an assistant. Each user must have their own invite.

4. Acceptable Use

You agree NOT to:

• Use Vault for any purpose unrelated to your work as a Empire Builders representative;
• Copy, export, scrape, or redistribute the Platform's content, client information, team member information, scripts, or training materials to third parties or to competing firms;
• Attempt to reverse-engineer, disassemble, or interfere with the platform's operation;
• Upload viruses, malicious code, or anything intended to harm the platform or other users;
• Impersonate another representative, create fake accounts, or mislead the invite-approval process;
• Submit false agent codes, dates, or other information in the invite workflow;
• Use the platform in ways that violate applicable regulations, FTC rules, state Do-Not-Call registries, privacy laws, or Empire Builders's code of conduct.

5. Client & Team Data Confidentiality

Client information (such as prospect and client lists, contacts, and notes) and internal team and business information are confidential and proprietary to Empire Builders.

You may access, enter, and share this information ONLY for the purpose of providing licensed financial services on behalf of Empire Builders. Unauthorized access, disclosure, or use, including recruitment efforts away from Empire Builders, is a material breach of these Terms and your agreement with Empire Builders, and may result in immediate account termination and civil or criminal liability.

If you leave Empire Builders for any reason, all access to Vault will be revoked. Any client or team data you retain outside the platform remains the property of Empire Builders.

6. Intellectual Property

All content on the platform — including scripts, presentations, trainings, training frameworks, recruiting materials, and the software itself — is the property of Empire Builders or its respective licensors. You are granted a non-transferable, revocable license to use this content solely in connection with your work as a representative.

You retain ownership of the personal information you submit about yourself (name, photo, bio, etc.) but grant Empire Builders a license to display it within the platform to support collaboration and coaching.

7. Your Responsibilities as a Licensed Representative

Vault is a tool, not a substitute for your professional judgment. You are responsible for:

• Compliance with all state licensing requirements in every state where you conduct business;
• Ensuring that any recommendation, product, or application you submit to a client is suitable and appropriate;
• Maintaining all licenses, appointments, and professional liability coverage required for your work;
• Following all applicable suitability, replacement, and disclosure requirements;
• Properly documenting client interactions in accordance with applicable rules.

8. Third-Party Services

Vault relies on third-party service providers for hosting, data storage, email delivery, internal approval workflow, and electronic application systems. Your use of these integrations is also governed by the respective third parties' terms. Empire Builders is not responsible for outages or issues caused by those services.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WEALTH ARMOR DOES NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AT ALL TIMES. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF ANY CONTENT, SCRIPTS, OR TOOLS PROVIDED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEALTH ARMOR, ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Nothing in these Terms limits liability for gross negligence, willful misconduct, or any obligation that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Empire Builders and its owners, officers, and employees from any claim, loss, damage, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the platform, or your violation of any applicable regulation or third-party right.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced inside the platform. Continued use after changes take effect means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida.
